The main question is, “what is the effect of extinction of position of the agent, as the grantor of representation, on the contract and relationship between a principal and mediated agent”? The extinction of the position of the first agent, the change of the managers of organizations and companies, the death or forced imprisonment and other cases in which the position of the representative of the attorney disappears show the practical importance of the discussion. The examination shows that the effect is different from the origin of representation. If the grantor is a guardian or testamentary representative, extinction of position will be lead to termination of the agency contract. If the mediated representative grants agency, there will be various presumptions to examine. In the case of an irrevocable agency or position of purchase, the non-termination of the contract is preferable; furthermore, if a representative of a juridical person like the manager of a company, administer of endowment or director of a public organization, extinction of position of agent does not affect on agency contract. گاه شخص حقیقی یا حقوقی که به دیگری وکالت در انجام عملی می­دهد اصیل نیست، بلکه با سمت نماینده قانونی یا قضایی و یا قراردادی به دیگری وکالت می­دهد. پرسشی اصلی این است که زوال سمت نماینده که به عنوان معطی وکالت شناخته می­شود، چه تأثیری بر سرنوشت قرارداد وکالت و رابطه اصیل و وکیل باواسطه دارد؟ زوال سمت وکیل اول، تغییر مدیران سازمان ها و شرکت ها، فوت یا حجر ولیّ قهری و سایر مصادیقی که با آن سمت نماینده معطی وکالت زایل می شود اهمیّت عملی بحث را نشان می دهد. مطالعه موضوع در مصادیق مختلف  نشان می ­دهد که بر حسب منبع نمایندگی، حکم قضیّه متفاوت است و اگر اعطاء کننده وکالت، ولیّ و یا وصیّ باشد اصولاً با زوال سمت این افراد، قرارداد وکالت نیز از میان می­رود. در صورتی که وکالت اعطایی، از سوی وکیل باشد باید میان فرض ­های مختلف قائل به تفصیل بود. همچنین در مواردی که وکالت به صورت بلاعزل و یا در مقام بیع باشد عدم انحلال عقد وکالت أرجح است. علاوه بر این، در مواردی که وکالت داده شده از ناحیه نماینده شخص حقوقی همچون مدیر شرکت و یا متولّی موقوفه و یا مدیر سازمان های عمومی باشد اصولاً زوال سمت نماینده تأثیری بر قرارداد وکالت نخواهد داشت. https://feqh.semnan.ac.ir/article_6154_3bf07985bf8a5a37fcf65989269e8edc.pdf
